RULES and CONDITIONS

ELIGIBILITY
An eligible person is someone 18 years of age or older who is a registered member of Manufacturing Success Upper Midwest (MSUM) in good standing. A member in good standing is a member who has completed the short registration form online at www.mfgsuccess.com. No purchase necessary to enter or to win. Void where prohibited. Employees, officers, directors and partners of MSUM or their immediate families living at the same address are not eligible. By participating, all entrants agree to abide by these Official Rules and the decisions of MSUM, which are final and binding in all respects.

DRAWING
All registered members will be compiled in a computer database with an assigned unique identifying number matched to the name of the member. Logged in members automatically increase their odds of winning by using MSUM website. Winners will be notified by mail subsequent to the Drawing. Prior to the receipt of the prize, Winners must agree to all conditions stipulated herein and may be required to sign an affidavit of eligibility and release of liability and publicity, and return same, properly executed, within 30 days of issuance of prize notification. Prize winner must have a legal valid driver’s license. If MSUM is unable to contact a prospective winner, if the prospective winner fails to complete and return all requested forms by the specified date, or if the prospective winner fails to comply with any of the requirements, his/her prize will be forfeited and awarded to an alternate prospective winner. By participating in the Drawing and accepting the prize, all entrants consent to the use of their photograph, likeness, voice and/or video for advertising and promotional purposes, including online announcements without limitation and without additional compensation, except where prohibited by law. The odds of winning depend upon the number of eligible members in each category at the time of the drawing.

GENERAL CONDITIONS
Winners will be notified by mail subsequent to the Drawing. Prize will be awarded during the Great Manufacturing Get Together held at Hennepin Technical College in Brooklyn Park on January 27, 2009 and awarded no later than 30 days following the Drawing. Any and all warranties and guarantees are subject to the respective prize manufacturer's terms. MSUM shall not be responsible or held liable in the case of malfunction of any prize item. By participating and accepting the Prize, entrants release and hold harmless MSUM and partners from any and all liability for any injury, loss or damage of any kind to person, including death, and property arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of the Prize, participation in any Promotion related activity, or participation in this Promotion. MSUM shall not be responsible for any damages resulting from misuse or incorrect use of the prizes; any error, omission, interruption, deletion, defect, delay in operation or transmission, theft or destruction or unauthorized use of said items; any injury or damage to participants or to any other person's property related to or resulting from participating in this Random Drawing or misuse of the awarded prizes. In no event shall MSUM be responsible or liable for any damages or losses of any kind, including direct, indirect, incidental, consequential or punitive damages arising out of the use of the awarded prizes by Random Drawing winners. Check local laws for any restrictions or conditions regarding these limitations and/or exclusions. MSUM reserves the right, at its sole discretion, to disqualify any individual it finds to be tampering with the operation of the Drawing; to be acting in violation of the Official Rules; or to be acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

ARBITRATION/CHOICE OF LAW
Except where prohibited by law, Members agree that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Drawing, or any prizes awarded, shall be resolved individually, without resort to any form of class action and exclusively by arbitration pursuant to the Rules of the American Arbitration Association then effective; and (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Drawing but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and/or MSUM in connection with the Drawing shall be governed by, and construed in accordance with, the laws of the State of Minnesota without giving effect to any choice of law or conflict of law rules.
